Terms of Use

These Terms of Use ("Terms") govern your use of the applications and website provided by Alderstone Labs Inc. ("Alderstone Labs", "we", "us", or "our"), including our website at alderstonelabs.com and all associated iOS, iPadOS, and macOS applications (collectively, the "Services").

By downloading, installing, or using our applications, or by accessing our website, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Licence

Subject to your compliance with these Terms, Alderstone Labs grants you a limited, non-exclusive, non-transferable, revocable licence to use our applications on devices you own or control, solely for your personal, non-commercial purposes.

You may not:

• Copy, modify, distribute, sell, or sublicense any part of the Services
• Reverse engineer, decompile, or disassemble any application
• Use the Services for any unlawful purpose
• Attempt to circumvent any security or access controls
• Use the Services in any way that could damage, disable, or impair them

2. App Store Terms

Our applications are distributed through the Apple App Store. Your use of our applications is also subject to Apple's App Store Terms of Service. In the event of any conflict between these Terms and the App Store Terms of Service, the App Store Terms of Service will govern with respect to the distribution and use of applications obtained through the App Store.

You acknowledge that Apple has no obligation to provide maintenance or support services for our applications, and that Apple is not responsible for addressing any claims relating to our applications.

3. In-App Purchases

Some features within our applications are available through a one-time in-app purchase processed by Apple. All purchases are final and subject to Apple's refund policies. Alderstone Labs does not issue refunds directly; please contact Apple Support for purchase-related issues.

Promotional codes distributed by Alderstone Labs or its partners may be used to unlock paid features. Promotional codes are single-use, non-transferable, and have no cash value.

4. Content and Information

Our applications provide general guidance and informational content related to estate administration and planning in Ontario, Canada. This content is provided for informational purposes only.

The content in our applications does not constitute legal, financial, tax, or professional advice. Estate administration involves complex legal and financial matters that vary depending on individual circumstances. You should consult a qualified lawyer, accountant, or other appropriate professional before making decisions based on information provided by our applications.

We make reasonable efforts to ensure content is accurate and current, but we do not warrant that all information is complete, accurate, or up to date. Laws, regulations, and government procedures change; you are responsible for verifying information with official sources.

5. Your Data

All data you enter into our applications remains on your device. You are responsible for maintaining backups of your data. Alderstone Labs is not liable for any loss of data resulting from device failure, software errors, user action, or any other cause.

Encrypted export files (".closure" packages and encrypted PDFs) are your responsibility to safeguard. Alderstone Labs cannot recover encrypted data if you lose your password.

6. Intellectual Property

All intellectual property in the Services — including software, content, design, trademarks, and the "Alderstone Labs" and "Closure" names and marks — is owned by or licensed to Alderstone Labs. Nothing in these Terms grants you any right to use our intellectual property except as expressly set out here.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. ALDERSTONE LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALDERSTONE LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR ANY OTHER FINANCIAL LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify and hold harmless Alderstone Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms.

10. Third-Party Services

Our applications may include links to or integrate with third-party services (such as Apple's iCloud). We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is subject to their own terms and policies.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. Upon termination, your licence to use the Services ends immediately. Sections 6 through 13 of these Terms survive termination.
